1. Agreement to Terms
These Terms of Use ("Terms") form a binding agreement between you and VisitVizor, Inc., the company that operates VisitVizor (the "Service"). In these Terms, "we," "us," and "our" refer to that company. By accessing or using the Service, you agree to these Terms and the VisitVizor Privacy Policy.
If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old (or the age of majority where you live) to use the Service.
3. No Medical Advice; No Emergency Use
The Service is provided for informational and organizational purposes only and does not provide medical advice, diagnosis, or treatment. VisitVizor is not a healthcare provider, health plan, or healthcare clearinghouse.
Do not use the Service for emergency needs. If you believe you may have a medical emergency, call emergency services immediately.
No provider-patient relationship with VisitVizor is created by your use of the Service, including when a professional accesses information through VisitVizor.
4. Accounts and Security
You are responsible for:
- maintaining the confidentiality of your credentials
- all activity that occurs under your account
- using the Service on devices and networks you trust
You agree to notify us promptly if you suspect unauthorized access to your account.
5. Your Content
5.1 Ownership
You retain ownership of the content, files, and information you upload or enter ("Content").
5.2 License to operate the Service
You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display your Content solely to provide and operate the Service, including processing you request (such as OCR extraction or organizing your files).
We do not claim ownership of your health data.
5.3 Authorization to upload
You represent that you have the right to upload Content. If you upload Content about another person (for example, a dependent), you represent you are authorized to do so and that doing so does not violate any law or any other person’s rights.
6. Document Processing and Accuracy Disclaimer
If the Service extracts text or data from documents (for example, OCR or other document processing), you understand:
- extracted information may be incomplete, delayed, or inaccurate
- you are responsible for reviewing and verifying information before relying on it
- the Service is not a substitute for original medical records or professional advice
Information displayed through the Service may not include every original record or the most current information. Healthcare professionals and organizations must use their own professional judgment and should consult original records and other appropriate sources.
7. Patient-Directed Sharing and Professional Access
The Service allows a patient or authorized account holder to decide whom to authorize and, where the feature offers the choice, the scope and duration of that access. VisitVizor facilitates sharing at the patient's direction.
Patient-directed access alone does not mean that VisitVizor is providing the Service on behalf of an authorized professional or organization, and it does not by itself create a business-associate relationship between VisitVizor and that recipient.
VisitVizor is not a party to the care, treatment, payment, or other professional relationship between a patient and an authorized professional or organization. Professional access through the Service does not make VisitVizor a healthcare provider or create a provider-patient relationship with VisitVizor.
Removing access stops future access through VisitVizor but cannot retract information or copies already lawfully received or saved. Authorized recipients are responsible for complying with their own legal, professional, confidentiality, security, and recordkeeping obligations.
8. Organization Services and BAAs
For certain separately contracted organization services, VisitVizor may create, receive, maintain, or transmit protected health information on behalf of a healthcare provider, health plan, or other covered entity or business associate. For those specific services, VisitVizor may act as a HIPAA business associate under a separate organization agreement and Business Associate Agreement (BAA).
If an applicable organization agreement or BAA conflicts with these Terms concerning PHI covered by that BAA, the BAA controls for that PHI and service. A doctor's or other recipient's ordinary patient-authorized access or viewing session does not by itself create a business-associate relationship with VisitVizor.
9. Acceptable Use
You agree not to:
- use the Service for unlawful purposes
- attempt to gain unauthorized access to the Service or other users’ data
- probe, scan, or test vulnerabilities or bypass security
- interfere with security features, rate limits, or operations
- upload malware or content designed to disrupt systems
- scrape, reverse engineer, or attempt to derive source code from the Service except to the extent prohibited by law
We may suspend or terminate access for violations.
10. Fees and Paid Features (if applicable)
The Service may offer paid features now or in the future. If we offer paid features, we will disclose pricing and payment terms at the time you choose a paid plan.
11. Privacy and Data Use
Our Privacy Policy explains how we collect and use information. By using the Service, you agree that we can process your information in accordance with the Privacy Policy.
As described in the Privacy Policy:
- we do not sell your personal information or health information to third parties
- we do not use third-party advertising trackers or cross-site behavioral tracking
- you can delete individual files and records using in-product features
- you can request account deletion by contacting privacy@visitvizor.com
12. Changes to the Service
We may change, add, or remove features at any time. The Service may be interrupted or unavailable occasionally for maintenance or other reasons.
13. Termination
You may stop using the Service at any time.
We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses security, legal, or operational risk.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or that any stored information will be accurate or complete.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS).
Some jurisdictions do not allow certain limitations; in those cases, these limits apply to the fullest extent permitted by law.
16. Indemnification
You agree to indemnify and hold us harmless from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
- your Content
- your violation of these Terms
- your misuse of the Service
17. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Exclusive venue for disputes will be the state or federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction there.
18. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date. Continued use after changes become effective means you accept the updated Terms.
